Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ReplyrX (the “Service”), operated by BeelabX Consulting LLC (“BeelabX”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

ReplyrX is an add-in for Microsoft Outlook that helps you draft and refine email replies using artificial intelligence, along with a web portal for managing writing profiles, templates, a knowledge base, users, and billing.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You access the Service by signing in with your Microsoft account (single sign-on). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for activity that occurs under your account.

3. Free trial

We may offer a free trial. At the end of the trial, continued use requires a paid subscription unless we state otherwise. We may modify or discontinue trial offers at any time.

4. Subscriptions, credits & billing

Paid plans are billed through Stripe on a recurring basis and include a per-period allowance of usage credits. Fees are charged in advance and, except where required by law, are non-refundable. Subscriptions renew automatically until canceled; you may cancel at any time, effective at the end of the current billing period. We may change pricing on prospective notice.

5. Acceptable use

You agree not to misuse the Service. In particular, you will not:

  • violate any applicable law or regulation;
  • send spam or unlawful, infringing, defamatory, or harmful content;
  • attempt to gain unauthorized access to the Service or another user’s data;
  • interfere with or disrupt the integrity or performance of the Service;
  • reverse-engineer the Service except to the extent permitted by law; or
  • use the Service to build a competing product.

6. Your content

You retain all rights to the content you submit, including email content, writing profiles, templates, and knowledge-base entries. You grant BeelabX a limited, worldwide license to process that content solely to provide and improve the Service, including transmitting relevant content to AI providers to generate replies as described in our Privacy Policy.

7. AI-generated content

The Service uses artificial intelligence to produce suggested drafts. AI output may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and approving any content before sending it. BeelabX is not responsible for content you choose to send.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by BeelabX and its licensors. These Terms grant you no rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

9. Third-party services

The Service relies on third parties, including Microsoft, AI providers, and Stripe. Your use of those services may be subject to their own terms, and we are not responsible for them.

10. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of liability

To the maximum extent permitted by law, BeelabX will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits. Our total liability for any claim will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold BeelabX harmless from claims, damages, and expenses arising from your misuse of the Service or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Upon termination, your right to use the Service ceases.

14. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes to the Terms will be indicated by updating the “Last updated” date above; your continued use of the Service after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. The courts located in New Mexico will have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your jurisdiction.
